1. Introduction
This Client Service Agreement (“Agreement”) is entered into between CampDesk (“Company,” “we,” “our,” or “us”) and the individual or entity purchasing our services (“Client,” “you,” or “your”).
By accessing or using our AI-powered software, tools, or subscription services through www.campdesks.com, you agree to be bound by the terms of this Agreement.
2. Scope of Services
CampDesk provides AI automation, software, and related digital services including but not limited to:
AI Voice Receptionist & Call Handling
AI Chat and Lead Response Systems
Appointment Scheduling & Customer Support Automation
AI Reputation Management
Data Insights, Reporting, and Performance Analytics
Specific deliverables, timelines, and pricing may be outlined in your service plan, invoice, or onboarding documentation.
3. Client Responsibilities
The Client agrees to:
Provide all necessary access, credentials, and business information required to set up and maintain AI systems.
Respond to requests for approvals, data, or feedback in a timely manner.
Use the Services in compliance with all applicable laws and regulations.
Refrain from using CampDesk’s Services for fraudulent, misleading, or unlawful activities.
Failure to provide necessary materials or timely responses may delay project timelines or limit results.
4. Payment Terms
Billing Cycle: All subscriptions and services are billed monthly or annually in advance, unless otherwise specified.
Invoices: Payment is due upon receipt unless otherwise stated in writing.
Late Payments: Overdue invoices may result in service suspension or additional late fees.
Setup Fees: One-time setup or onboarding fees (if applicable) are non-refundable as they cover initial implementation and configuration work.
Refunds: Refunds are governed by our Refund & Cancellation Policy.
CampDesk reserves the right to adjust service pricing with 30 days’ notice to the Client.
5. Term and Termination
This Agreement remains in effect for as long as the Client maintains an active subscription or service relationship with CampDesk.
Either party may terminate this Agreement by providing written notice via email to [email protected].
Termination does not relieve the Client of payment obligations for services already rendered.
CampDesk may suspend or terminate services immediately if:
The Client violates this Agreement or our Terms of Service;
Payment is overdue by more than 14 days;
The Services are used in a way that harms CampDesk or its reputation.
6. Ownership of Work and Data
All AI tools, templates, and intellectual property developed by CampDesk remain the sole property of CampDesk.
The Client retains ownership of their customer data, call recordings, or chat transcripts generated during service delivery.
Upon termination, the Client may request a data export before account closure.
CampDesk reserves the right to use anonymized data for internal analytics and service improvements in compliance with our AI Compliance & Data Use Policy.
7. Confidentiality
Both parties agree to keep all non-public business, technical, and customer information strictly confidential and to use such information solely for purposes related to this Agreement.
Confidentiality obligations will survive termination of the Agreement.
8. Performance Disclaimer
CampDesk’s AI systems are designed to enhance productivity and automate communication. However, results depend on multiple factors including customer engagement, industry, and data quality.
We do not guarantee specific leads, revenue, or outcomes.

9. Limitation of Liability
To the maximum extent permitted by law, CampDesk’s total liability for any claim under this Agreement shall not exceed the total amount paid by the Client in the 12 months preceding the claim.
CampDesk is not liable for indirect, incidental, or consequential damages, including loss of profits, data, or goodwill.
10. Independent Contractor Relationship
CampDesk and the Client operate as independent contractors.
Nothing in this Agreement creates a partnership, joint venture, or employment relationship.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law principles.
12. Entire Agreement
This document, together with our Privacy Policy, Terms of Service, and related policies, constitutes the entire agreement between the Client and CampDesk.
Any modifications must be agreed to in writing by both parties.
